Terms of Use
In short
- ZD Terminal is for ZandD members and people ZandD invites.
- It is a research and paper trading tool. It does not trade real money and is not investment advice.
- Data can be delayed or wrong. Check before you act; your decisions are your own.
1. Agreement
These terms are between you and Z D LLC ("ZandD"). By installing or using ZD Terminal you agree to them and to the Privacy Policy. If you use ZD Terminal on behalf of an organization, you accept these terms for it.
2. Who may use ZD Terminal
ZD Terminal is an internal application of ZandD. Access requires an invitation and an access token from a ZandD administrator. You must be at least 18. ZandD may suspend or remove access at any time, for example when membership ends.
3. Research only, no advice
Plans, trade ideas, scores, forecasts, backtests and AI answers are produced by rules and statistical models from historical data. They are information for research and paper trading. They are not investment, financial, legal or tax advice, and they are not a recommendation or offer to buy or sell any security, future or other instrument. Past results, simulated or real, do not guarantee future results. Futures and leveraged products can lose more than the money invested.
4. Paper trading
Orders in ZD Terminal are simulated in a local paper account, or sent to an Alpaca paper account when configured. ZD Terminal does not place real-money trades. If you trade elsewhere, you do so on your own judgment and at your own risk.
5. Market data
Market data comes from third parties (see Data sources), is usually delayed, and may be incomplete or wrong. It is provided for ZandD's internal use only: do not redistribute it, resell it or use it to build a competing data product. Your use of the data is also subject to the providers' terms.
6. Acceptable use
- Keep your access token private and do not share it outside ZandD.
- Do not try to reach other members' data or ZandD's systems beyond what the app offers, and do not probe, overload or reverse engineer the service.
- Do not use ZD Terminal for anything unlawful, including market manipulation or misuse of non-public information.
- Use the e-mail sharing feature only for people who expect to receive the report.
7. Your content
Journal notes, tags and settings you enter stay yours. You give ZandD permission to store and process them to run the service for you and your team.
8. Software license
ZandD grants you a personal, non-transferable, revocable license to use ZD Terminal while you are an authorized member, under these terms and the License. Apps obtained from the Apple App Store are also subject to Apple's Licensed Application End User License Agreement; Apple is not responsible for ZD Terminal or its support.
9. Disclaimers
ZD Terminal is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not guarantee that it will be uninterrupted, timely or error-free.
10. Limitation of liability
To the extent permitted by law, ZandD is not liable for any trading losses, lost profits, or indirect, incidental, special or consequential damages arising from use of ZD Terminal or its data. Our total liability for any claim is limited to the amount you paid for ZD Terminal (if any) in the twelve months before the claim.
11. Changes and termination
We may update ZD Terminal and these terms. Material changes will be announced in the app or by e-mail; continued use means you accept them. You may stop using ZD Terminal at any time by deleting the app.
12. Governing law
These terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules.
